Licensee agrees and acknowledges that each Location that wishes to sell alcohol via the GH Platform (together, the “Licensee Accepting Entities”), agrees to be bound by the Grubhub Additional Terms for Alcohol Sales, available at https://get.grubhub.com/legal/alcohol-terms (“Grubhub Alcohol Terms”) and the Stripe Services Agreement (as defined in the Grubhub Alcohol Terms).
Licensee authorizes GH to open one or more Stripe Connect accounts on behalf of the Licensee Accepting Entities using information provided by Licensee (the “Account Information”). Licensee represents and warrants that the Account Information is true, accurate and complete in all respects.
Licensee hereby acknowledges and accepts the Grubhub Alcohol Terms and Stripe Services Agreement on behalf of the Licensee Accepting Entities in lieu of per-Location electronic acceptance of the Grubhub Alcohol Terms through the Grubhub for Restaurants portal.
Licensee represents and warrants that it has all necessary rights and permissions to accept the Grubhub Alcohol Terms on behalf of all Licensee Accepting Entities, which it does by executing this Agreement.
Licensee shall be solely responsible for the Licensee Accepting Entities’ compliance with the Grubhub Alcohol Terms, including any updates or modifications thereto. GH shall notify Licensee in the event that there are material modifications to the Grubhub Alcohol Terms no later than five (5) calendar days after such updates go into effect (notice by email deemed sufficient).
Licensee will indemnify and hold GH (including its directors, employees, officers, agents, and licensees) harmless from any and all claims, actions, proceedings, damages, costs and expenses, including, without limitation, reasonable attorneys’ fees arising out of Licensee’s breach of the foregoing provisions of this Addendum (collectively, “Alcohol Menu Item Claims”). All processes and procedures related to Indemnification in the Agreement shall govern Licensee’s indemnify related to Alcohol Menu Item Claims.
